The article gives an analysis of existing criteria for recognizing a company to be a qualified investor. The author examines the problems faced by foreign investors after the concept and amendments into legislation relating to transactions with foreign securities have been introduced. The author suggests the ways to improve the process of recognizing non-resident company to be a qualified investor from the viewpoint of Russian legislation.
